RECITALS

 

WHEREAS, StyleBuddy is engaged in the business of fashion and styling services; and

 

WHEREAS, the Business Development Associate or the Sales Associate has experience in sales and marketing and wishes to provide services for the promotion and sale of StyleBuddy's services to both business-to-business (B2B) and business-to-consumer (B2C) segments;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:

 

1.Scope of Services:

 

The Business Development Associate shall promote and sell StyleBuddy's services to potential clients in the B2B and B2C segments, using best efforts to maximize sales and revenue for StyleBuddy. StyleBuddy will provide the required sales and marketing materials to enable the Business Development Associate in the sales process. StyleBuddy will attend any client meetings proposed by the Business Development Associate during the sales process.  

 

2. Compensation: 
 

StyleBuddy agrees to compensate the Business Development Associate an amount equal to 10% of the value of revenue generated directly by the Business Development Associate's sales efforts.

 

3. Confidentiality:

The Business Development Associate shall maintain the confidentiality of all proprietary or confidential information disclosed by StyleBuddy during the term of this Agreement and for 24 months thereafter.

 

4. Intellectual Property:

​

All intellectual property rights in any materials, documents, or other items created or developed by the Business Development Associate for StyleBuddy under this Agreement shall be the exclusive property of StyleBuddy.

 

5. Term and Termination:

 

This Agreement shall commence on the Effective Date and continue for 12 months, unless terminated earlier as provided herein. Either party may terminate this Agreement upon 30 days' written notice.

 

6.Independent Contractor:

​

The Business Development Associate shall perform the services as an independent contractor and not as an employee of StyleBuddy.

 

7. Governing Law:

 

This Agreement shall be governed by and construed in accordance with the laws of Haryana, India.

 

8.Dispute Resolution:

​

Any disputes arising out of or related to this Agreement shall be resolved through mutual discussions in good faith, and if disputes are unresolved after such good faith discussions, the Parties herein shall refer the dispute to a Arbitrators as per the applicable rules and procedures of Arbitration laws of India.  

 

9.Digital Signature and Acceptance:

This Agreement is executed in digital format by way of the Business Development Associate ticking the Agreemnt Acceptance Box provided at the end of this document. and which together shall constitute one and the same agreement. A facsimile, electronic, or digital signature shall be deemed as effective as an original signature.

 

10.Entire Agreement:

​

This Agreement contains the entire understanding between the parties and supersedes all prior and contemporaneous agreements and understandings, oral or written, relating to its subject matter.

 

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
