The Company and the Influencer are collectively referred to as the "Parties" and individually as a "Party."

 

WHEREAS:

1. The Company is engaged in providing personalized styling and shopping services under the brand "StyleBuddy."

2. The Influencer has an established social media presence and expertise in creating engaging content.

3. The Company desires to engage the Influencer to create and promote social media content to enhance the visibility of its services, and the Influencer agrees to provide such services in accordance with the terms and conditions set forth herein.

 

NOW, THEREFORE, the Parties agree as follows:

 

1. Scope of Services

 

The Influencer agrees to:

 

1.1. Create high-quality social media content relating to StyleBuddy's products and services, including but not limited to:

• Instagram Reels

• Videos

• Posts

• Stories

 

1.2. Promote the created content on the Influencer’s social media handles, including Instagram, and Facebook. 

 

1.3. Ensure all content aligns with the Company’s branding guidelines, messaging, and values.

 

2. Term of Agreement

 

2.1. This Agreement shall commence on the date of signing of this agreement and remain in effect for 6 months, unless terminated earlier as provided herein.

 

2.2. The term may be extended by mutual written agreement of the Parties.

 

3. Compensation

 

3.1. The Company shall pay the Influencer a mutually agreed fee per deliverable/post/video, documented and confirmed through e-mail.

 

3.2. Payments shall be made within 15 days of receiving the invoice from the Influencer upon completion of deliverables, or on a fixed date per month as stipulated by the Company.

 

3.3. Any additional expenses incurred by the Influencer related to content creation must be pre-approved by the Company in writing.

4. Content Requirements

 

4.1. The Influencer shall ensure that all content:

• Is original and created exclusively for the Company.

• Does not infringe on the intellectual property rights of any third party.

• Complies with the advertising and disclosure guidelines under applicable laws and platform-specific policies (e.g., tagging posts as "Sponsored" or "Paid Partnership").

4.2. The Company retains the right to review and request modifications to content before publication.

4.3. Ownership of content created under this Agreement shall remain with the Company.

5. Obligations of the Parties

 

5.1. The Influencer agrees to:

• Maintain a professional demeanor in all communications and content related to the Company.

• Use hashtags, tags, or mentions as instructed by the Company.

 

5.2. The Company agrees to:

• Provide necessary materials, branding guidelines, and resources to the Influencer.

• Respond promptly to queries and approve/reject content submissions in a timely manner.

 

6. Confidentiality

 

6.1. The Influencer agrees to keep all confidential information of the Company private and not disclose it to any third party without prior written consent.

 

6.2. Confidential information includes, but is not limited to, marketing strategies, campaign details, and any proprietary information shared with the Influencer.

 

7. Termination

 

7.1. Either Party may terminate this Agreement with 30 days written notice.

 

7.2. The Company may terminate the Agreement immediately for breach of terms by the Influencer.

 

7.3. Upon termination, the Influencer shall cease using the Company’s intellectual property and remove all promotional materials from their platforms.

 

8. Representations and Warranties

 

8.1. The Influencer represents and warrants that:

• They have the right and authority to enter into this Agreement.

• They will not post content that is defamatory, offensive, or harmful to the Company’s reputation.

 

8.2. The Company represents and warrants that:

• It will provide all agreed-upon compensation as per this Agreement.

• It will not require the Influencer to engage in illegal or unethical promotional activities.

 

9. Indemnification

 

9.1. The Influencer agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising out of content created in breach of this Agreement.

9.2. The Company agrees to indemnify and hold harmless the Influencer for any claims arising out of materials provided by the Company.

 

10. Governing Law and Dispute Resolution

 

10.1. This Agreement shall be governed by the laws of India.

10.2. Any disputes arising out of this Agreement shall be resolved through mediation. If mediation fails, the dispute shall be subject to the jurisdiction of courts in Gurugram, Haryana.

 

11. Miscellaneous

11.1. This Agreement constitutes the entire understanding between the Parties.

11.2. Any modifications to this Agreement must be made in writing and signed by both Parties.

11.3. The failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of such provision.
